Terms of Use
These Terms of Use govern access to and use of Cashflow Bay (cashflowbay.com and related services). By creating an account or using the site, you agree to them.
1. The venue
Cashflow Bay is a marketplace that connects parties who list contractual cashflows or capital needs with parties who may offer capital. We provide software, identity checks, a data room, and fee invoicing at close. We are not a party to your transactions.
2. Eligibility
Access is limited to invited users and accounts that complete the verification steps we require (email, phone, and where applicable identity / business verification). You must be authorized to act for any entity you represent.
3. Listings, offers, and close
Listings and offers are statements by their authors, not by Cashflow Bay. Accepting an offer opens a deal record on our platform; settlement, legal documentation, and funds movement happen off-platform between the parties unless we expressly provide a rail. You are responsible for your own diligence, counsel, and closing conditions.
4. Fees
When a deal is marked closed, Cashflow Bay may invoice a transaction fee to the buy-side (the offer-maker), never the listing originator. Rates are stated on our About page and may be set by environment configuration. Payment is due under the invoice terms.
5. Data room and confidentiality
Documents in a data room may be watermarked and access-logged. You may use granted materials only for evaluating the related listing and must not redistribute them outside Cashflow Bay without the originator’s written consent.
6. Acceptable use
Do not misuse the service: no unlawful content, no scraping that degrades the service, no impersonation, and no attempts to circumvent verification or access controls.
7. Disclaimers
The service is provided “as is.” We do not guarantee that any listing will fund, that any offer will be accepted, or that counterparties will perform. Nothing on the site is investment, legal, tax, or accounting advice. See also our Disclosures.
8. Limitation of liability
To the fullest extent permitted by law, Cashflow Bay and its operators are not liable for indirect, incidental, or consequential damages, or for losses arising from off-platform close, counterparty default, or reliance on listing content. Our aggregate liability for claims relating to the service is limited to fees you paid us in the twelve months before the claim.
9. Changes
We may update these terms. Material changes for active users will be communicated via the site or email where practical. Continued use after an update constitutes acceptance.
